Together called the Parties.
1. Purpose
The Disclosing Party may share confidential information related to an early stage project currently called CallBank. This information can include product ideas, designs, code, architecture, business strategy, financial projections, customer data, research, and any related materials.
2. Confidential Information
Confidential Information means any information that is not publicly known and is disclosed in any format. This includes verbal information, written documents, digital files, prototypes, and anything derived from them.
3. Obligations of the Receiving Party
The Receiving Party agrees to:
- Keep all Confidential Information private
- Use it only for the purpose of evaluation or collaboration
- Limit access to people who need to know and who also agree to keep it confidential
- Take reasonable care to avoid any unauthorized use or release
4. Exclusions
Confidential Information does not include information that:
- Becomes public through no fault of the Receiving Party
- Was already known by the Receiving Party before disclosure
- Is received from a third party who has the right to share it
- Is independently developed without use of the Confidential Information
5. Term
The obligations in this agreement continue for three years from the date signed or until the information becomes public without breach.
6. Ownership
All Confidential Information remains the property of the Disclosing Party.
7. No License
Nothing in this agreement grants any rights to use the Confidential Information except for the stated purpose.
8. Legal Remedies
The Disclosing Party may seek any appropriate remedy if the Confidential Information is used or released without permission. This includes injunctive relief.
9. Governing Law
This agreement is governed by the laws of British Columbia Canada.
10. Entire Agreement
This is the complete agreement between the Parties regarding Confidential Information.
11. Signatures
By checking the box below and submitting this form, you acknowledge that you have read and agree to the terms of this Nondisclosure Agreement. Your electronic signature will be applied to the PDF version of this agreement, which will be generated upon submission.
